Record the deal details and parties
Deal type, dates, governing law and the parties stored on the matter, by hand or from the term sheet, ready for the CP checklist export.
Screenshots are taken from the app on every release. Updated 13 October 2026.
The same facts turn up in every document on a deal: the deal type, the signing date and the expected closing, the governing law, the target, the lender and agent, the obligors and guarantors. Record them once on the matter, and the board and the CP checklist export read them from there instead of each associate retyping them.
The question that decides how you fill it in: is there already a term sheet, SPA or CP checklist that names the parties? If so, let JuristIQ read it and check what it found. If not, type the values in.
Put the card on the matter
Open the matter. The facts live in the Deal details & parties card on the matter's overview.
If the card is not there, a manager of the matter adds it: click Edit matter layout, then Add widget, choose Deal details & parties, and click Done. Set up the matter's front page covers the rest of the layout.
The card shows the deal details in a row at the top (Deal type, Target value, Signing, Expected closing, Governing law) and the Key parties below: Company, Target, Parent, Lender, Agent, Target subsidiary, OC, Original obligors, Original guarantors, Target obligors and Key-man policies.
Fill it in by hand
Point at the card and click the pencil, Edit values.
Type the values. Dates have a date picker. For the lists of obligors and guarantors, type each name in Add entry… and click Add, so that Beta Holding A/S and Gamma ApS stay separate names rather than one line of text.
Click Save.
Fill it in from the term sheet
Point at the card and click the upload icon, Extract from document.
Click Choose file… and pick the term sheet, SPA or CP checklist. It takes PDF, Word .docx and plain text.
Click Extract. JuristIQ reads the document, and the file is saved to the matter's documents at the same time, so the source stays with the matter.
Review the differences. Each row shows what the card holds now beside what JuristIQ found. Rows that differ are ticked; rows that match are greyed out. Untick anything you do not want, for example a lender the term sheet names provisionally.
Click the apply button, which counts the ticked rows (Apply 3 changes, for example). Only the ticked rows change; everything else on the card stays as it was.
If the extracted values match what is already saved, the dialog says so and there is nothing to apply.
Use it from the board
On a board that belongs to the matter, the Board menu has a Deal details & parties item whenever the matter's overview has the card. It opens the same card, so you can check or correct a party without leaving the checklist.
When you export the board to Word with Custom, the firm's CP checklist template fills its deal and party fields from these values. Produce the CP checklist for the other side walks through the export, and your organisation admin sets up the template in Set up the firm's CP checklist export.
Tips from practice
- Re-extract when the SPA moves. Run Extract from document on each new draft. The review shows only what changed, so a new guarantor or a moved closing date stands out.
- Correct by hand after extracting. JuristIQ reads what the document says. If the document is wrong or out of date, fix the card with Edit values; the next extraction will show the difference again for you to decide.
- Pick the document you want kept. Extraction saves the file to the matter's documents, so extract from the version you want on file, not a scratch copy.
Next: set up the deal checklist board and assign and follow up the work.
