Review the group's corporate documents in a table
One row per article, agreement or minute and one column per housekeeping question, checked and exported.
Screenshots are taken from the app on every release. Updated 13 October 2026.
Before Beta Holding A/S reorganises its group, someone has to go through the paperwork of a dozen companies: the articles of association, the shareholders' agreements and the board minutes. Are there pre-emption rights on a transfer? Does a change of control need consent? Were the last capital changes resolved properly? An insight puts each document in a row and each housekeeping question in a column, and JuristIQ answers every question for every document, with its reasoning, so you check the answers rather than read every page.
Two questions shape the table. What does the reorganisation need to know about each company? Every column is one question. And will you filter on the answer or quote it? A yes or no can be filtered; a clause to quote in the step plan is better taken word for word.
The mechanics of each step are explained in full in the due diligence guides linked below.
Set up the table
Open the matter and click Create new in the Insight box. Give it a Name such as "Beta Holding group: corporate housekeeping" and click Save.
Click Add documents and add the articles, agreements and minutes of every company in scope. Each document becomes a row, and Category says what kind of document it is, so you can sort the articles apart from the minutes.
Ask the housekeeping questions
If the firm keeps its housekeeping checklist in Excel, click Import columns from Excel and bring the questions in as columns. See reuse a review grid on the next deal.
Otherwise, click the plus at the end of the header row (Add column), choose Write a new question and, under Read the document, write it in What do you want to know about each document?, for example "Do the articles give the other shareholders pre-emption rights on a transfer of shares?" Click Continue.
At Check, choose the Column type and click Test on 3 documents. Read the three answers and reword the question if they miss, then click Add column.
Click Get Insights, choose Analyse missing cells and click Start.
Choose the column type for what the answer is for:
| The question | Column type | Why |
|---|---|---|
| Are there pre-emption rights on a transfer of shares? | Yes / No | Filter to the companies where a transfer needs a waiver |
| Does a change of control require the consent of a shareholder or the board? | Yes / No | Find the consents the step plan has to obtain |
| What does the pre-emption clause say? | Verbatim | The exact wording, to quote in the memo or the step plan |
| When were the articles last amended? | Date | Spot the outdated articles at a glance |
| Who are the parties to the shareholders' agreement? | List | The names, separated by commas |
| What majority does the general meeting need to amend the articles? | Short answer | A few words per company |
The full walk-through, with every column type, is in review a set of contracts in a table.
Check the answers
Point at a cell and click the eye to open the document's answers in the panel on the right, with the Reasoning behind each one.
Mark each answer: Verify cell when it matches the document, Flag cell when it needs a decision (a pre-emption right that needs a waiver, minutes that are missing a signature), and Add comment to say why. Lock cell once the answer is agreed.
Use the chips at the top of the panel to work through what is left. Needs checking shows answers with no recorded source that nobody has verified yet; Flagged is the list for the partner.
See check and sign off the review for correcting an answer and for who signs off what.
Hand the findings over
Click Export above the table and choose Excel.
Under Export to Excel, tick Include prompt row so each column reads as its question, and Include verification & flags for the team's working copy. Click Export.
Leave Include verification & flags off for a copy that leaves the firm: the notes carry the team's comments and names. See hand the review over in Excel.
Tips from practice
- One question per issue. "Are there pre-emption rights?" and "What does the clause say?" make two columns: one to filter on, one to quote.
- Expect blanks across document types. A question about the articles will often find nothing in board minutes. Sort by Category and read each question against the documents it is meant for.
- Keep the checklist for the next group. Leave Save this question to my column library ticked, or keep the firm's housekeeping review as a template insight without documents.
- Check against the register. Compare what the articles say with the company's registered data before relying on them. See look up a company before the meeting.
With the findings in hand, build a step plan for a reorganisation. For the group's filed accounts, see collect the group's annual reports.
